1. Definitions
In these Terms:
- "Orbitron" or "we" refers to Orbitron Technology Sdn Bhd (Company
No. 201801038461).
- "Customer" or "you" refers to the company or individual who has
entered into a service agreement with Orbitron.
- "Services" refers to Orbitron Lite, Orbitron Fleet, Orbitron Pro, Orbitron Driver,
Orbitron Fleet360, and any related software platforms, mobile applications, and support services.
- "Hardware" refers to GPS tracking devices, telematics units, and accessories
supplied by Orbitron.
- "Installation" refers to the on-site fitting of Hardware into vehicles by Orbitron
or its authorised technicians.
- "Subscription" or "Plan" refers to the service tier and billing
arrangement selected by the Customer.
- "Authorised Users" refers to individuals granted access to the Platform by the
Customer.
2. Account and Access
- You are responsible for maintaining the confidentiality of your account credentials.
- You must ensure that only authorised personnel access the Platform using your account.
- You agree to notify us immediately of any unauthorised use of your account.
- Orbitron reserves the right to suspend accounts where security is compromised or terms are breached.
3. Scope of Services
Orbitron provides:
- Fleet management software for GPS tracking, reporting, alerts, and driver management
- Mobile applications for drivers and fleet operators
- Hardware for vehicle tracking (where purchased)
- Installation services for Hardware fitting (where arranged)
- Technical support via phone, email, and WhatsApp
The specific features available depend on your selected Plan. Service availability may vary based on
subscription type and region.
4. Hardware and Installation
- Hardware ownership depends on your Plan. For one-time purchase plans (e.g. Orbitron Lite), ownership
transfers to the Customer upon full payment. For subscription-based plans (e.g. Orbitron Fleet,
Orbitron Pro), Hardware remains the property of Orbitron unless otherwise stated in your agreement.
- Installation is performed by Orbitron or authorised technicians at a mutually agreed location.
- You must provide vehicle access and ensure vehicles are in safe condition for installation.
- Installation timing is approximately 45-60 minutes per vehicle under normal conditions.
- Orbitron is not responsible for pre-existing vehicle defects or issues discovered during
installation.
- Post-installation verification will confirm device functionality.
5. Fees, Invoicing, and Payment
- Fees are as specified in your service agreement or quotation.
- Invoices are issued according to your Plan cycle (monthly, annually, or one-time).
- All fees are subject to applicable taxes, including Sales and Service Tax (SST) and any requirements
under LHDN e-Invoicing, as required by Malaysian law.
- Payment is due within the period specified on your invoice.
- Late payments may result in service suspension and may incur administrative charges.
- Orbitron reserves the right to revise pricing with reasonable notice.
6. Subscription Terms
- Subscriptions renew automatically unless cancelled before the renewal date.
- Cancellation requests must be submitted in writing as specified in your agreement.
- Refunds for unused subscription periods are not provided unless stated in your agreement.
- Orbitron may suspend services for non-payment, including remote suspension of the SIM card
associated with your Hardware. Suspension does not cancel outstanding fees.
7. Acceptable Use
You agree not to:
- Use the Services for any unlawful purpose, including illegal vehicle tracking or surveillance
- Tamper with, modify, or reverse-engineer any Hardware or software
- Share account credentials with unauthorised parties
- Interfere with the operation of the Platform or other users' access
- Use the Services to harass, threaten, or harm any person
Violation may result in immediate termination without refund.
8. Data Accuracy and Limitations
- GPS location data depends on satellite signals and mobile network coverage.
- We do not guarantee the accuracy, completeness, or timeliness of location or telemetry data.
- Data may be affected by environmental factors, signal interference, or device conditions.
- You are responsible for verifying data before relying on it for business decisions.
- Historical data access is subject to your Plan's data retention settings.
9. Service Availability
- We aim to provide reliable service but do not guarantee uninterrupted access.
- Scheduled maintenance will be communicated in advance where possible.
- Emergency maintenance may occur without prior notice.
- We are not liable for service interruptions caused by factors outside our control, including
internet outages, power failures, or third-party service disruptions.
10. Warranty
- Hardware supplied by Orbitron is covered under our standard warranty terms as specified in your
agreement.
- Warranty coverage varies by Plan. Orbitron Fleet and Orbitron Pro plans may include extended
warranty with 1-for-1 device replacement. Orbitron Pro includes up to 5-year warranty coverage.
- Warranty does not cover damage caused by misuse, tampering, accidents, or unauthorised modification.
- Software is provided "as is" and we do not warrant that it will be error-free.
11. Limitation of Liability
- To the maximum extent permitted by law, Orbitron's liability for any claim arising from these Terms
or Services is limited to the fees paid by you in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages, including loss of
profits, data, or business opportunity.
- These limitations apply regardless of the form of action, whether in contract, tort, or otherwise.
12. Termination
- Either party may terminate the agreement with written notice as specified in your service contract.
- Orbitron may terminate immediately for material breach, including non-payment or acceptable use
violations.
- Upon termination, your access to the Platform will cease.
- Outstanding fees remain payable after termination.
- Where Hardware is not owned by the Customer, you must return it in reasonable condition within 14
days of termination. SIM cards will be deactivated upon termination.
13. Confidentiality
- Both parties agree to keep confidential any proprietary or sensitive information exchanged during
the service relationship.
- This includes fleet data, operational reports, and business information.
- Confidentiality obligations survive termination of the agreement.
14. Governing Law and Disputes
- These Terms are governed by the laws of Malaysia.
- Any disputes will be subject to the exclusive jurisdiction of the courts of Malaysia.
- Before initiating legal action, both parties agree to attempt resolution through good-faith
negotiation.
15. Changes to These Terms
- We may update these Terms from time to time.
- Material changes will be communicated via email or Platform notification.
- Continued use of the Services after changes constitutes acceptance.
